1. Agreement

These Terms & Conditions govern your use of adsmogul.com and any services, software, or products provided by AdsMogul Marketing ("AdsMogul", "we", "us"). By purchasing a service or subscription, submitting a form, or using the client portal, you agree to these Terms.

Our Privacy Policy, Cookie Policy, and SMS Terms are part of these Terms and are incorporated by reference.

2. Services

AdsMogul provides digital marketing services and software, including website design and development, website hosting and maintenance, Google Business Profile management, local SEO, Google Ads, Meta (Facebook and Instagram) ads, streaming TV ad management, reputation and review management, one-time audits and reports, and subscription software tools such as our AI voice agent and FormReach.

The specific scope, deliverables, and price of any engagement are set out in the package description, proposal, or checkout page you accept, which forms part of these Terms. Where a package page and these Terms differ on what is included or what it costs, the package page you bought from controls.

3. Client Portal

Clients receive access to a private portal for communication and update requests. We aim to complete routine update requests within two business days; complex requests or high-volume periods may take longer, and we will tell you if so. Portal access is tied to your account, is non-transferable, and may be suspended if your account is past due.

4. Payment Terms

Monthly services are billed in advance. Local SEO packages require a minimum three-month commitment, because that is the window the guarantee in section 5 runs on; after that, services continue month-to-month and may be cancelled with 30 days' written notice. Quarterly packages are billed every three months in advance.

Payments for a service period are non-refundable once work for that period has begun, except where you elect the refund remedy under the ranking guarantee in section 5. Website design projects require a deposit before work starts; deposits are non-refundable once design work has begun. One-time products (audits, reports, courses) and software subscriptions are non-refundable once delivered or activated, but subscriptions may be cancelled at any time to stop future billing.

Late payments may result in paused services, suspended hosting, or suspended portal access until the account is current.

5. Ranking Guarantee

Our Standard and Quarterly local SEO packages include a guarantee: if your Google Business Profile does not appear in the top three Google Maps results within 90 days of campaign start, for the primary search term and search location agreed in writing at onboarding, you choose your remedy: either a full refund of everything you have paid us for that package, or we continue the work at no charge until the target is met. There is no clawback of work already delivered if you take the refund.

The guarantee is subject to the following conditions:

• The target term and location are agreed in writing at onboarding and are not changed during the guarantee period.
• You provide and maintain the access we request (Google Business Profile, website, and related accounts) throughout the engagement.
• You do not make changes to the Google Business Profile, website, or citations outside of the work we perform, without our agreement.
• The profile is not suspended, disabled, or flagged by Google for reasons outside our control, and the business remains eligible for a Google Business Profile.
• Ranking is measured by AdsMogul's rank-tracking tools from the agreed location during normal business hours; results may vary by device, time, and precise location.
• You claim the guarantee in writing within 30 days of the end of the 90-day period.

The Minimum package does not include this guarantee. The guarantee is your sole remedy for ranking performance.

6. SMS & Communication Consent

Text messages from AdsMogul are express opt-in only. Engaging our services does not on its own opt you in. We text you only if you checked the SMS consent box on one of our forms, texted us first, or asked us on a call to send text updates. Consent to receive text messages is not a condition of any purchase.

Where you have opted in, messages cover service updates, campaign performance, appointment reminders, and occasional offers. Message frequency varies. Message and data rates may apply. Reply STOP to opt out. Reply HELP for assistance. Our full SMS Terms set out the program in detail.

Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.

7. Client Responsibilities

You are responsible for the accuracy of the business information, content, and account access you provide, and for ensuring you have the rights to any content you supply. You agree not to use our services, software, or tools for unlawful purposes or in violation of the terms of any third-party platform, including Google, Meta, and the telecom carriers.

Where our software sends messages, calls, or emails on your behalf, you are responsible for having a lawful basis to contact the recipients and for honoring opt-outs.

8. Intellectual Property

Website designs, code, and creative assets produced by AdsMogul remain the property of AdsMogul until the client's account is paid in full and in good standing. Upon full payment, ownership of custom website files transfers to the client.

AdsMogul retains ownership of its software, tools, templates, and methods. Software subscriptions grant a non-transferable license to use the software for your own business while the subscription is active, and that license ends when the subscription does. You keep your own data; we will export it on request.

9. Hosting & Termination

Hosted websites remain live while hosting is paid. If hosting is cancelled or lapses, we will provide the website files on request (subject to section 8) and may take the site offline after 30 days. Either party may end a month-to-month engagement with 30 days' written notice. We may terminate immediately for non-payment, abuse of our systems, or unlawful use.

10. Limitation of Liability

Except for the ranking guarantee in section 5, AdsMogul makes no guarantee of specific results. Marketing outcomes depend on factors outside our control, including competition, platform policy and algorithm changes, and your business's history and reputation.

AdsMogul is not liable for indirect, incidental, or consequential damages, or for actions taken by third-party platforms (such as account suspensions or policy changes). Our total liability for any claim is limited to the amount you paid us in the three months before the claim arose. Nothing in these Terms limits liability that cannot be limited under California law.

11. Governing Law & Disputes

These Terms are governed by California law. Any dispute will be resolved in the state or federal courts located in Santa Barbara County, California. Before filing, both parties agree to attempt to resolve the dispute in good faith by direct discussion.

12. Changes

We may update these Terms from time to time. Changes will be posted on this page with an updated date and apply to services purchased after that date. The version in force for your engagement is the one published when you purchased.
